By accessing our website or purchasing a license, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and Sydneil Technologies LLC ("we," "us," or "our").

1. Software License & EULA

The purchase of ScribeMic AI grants you a license to use the software, not ownership of the software itself. The specific rules regarding how you may use, install, and interact with the desktop application are governed by our End User License Agreement (EULA), which is presented to you and must be accepted during the software installation process.

2. Purchases and Payments

ScribeMic AI is sold as a one-time purchase. We do not charge recurring monthly or annual SaaS subscription fees.

• Payment Processing: All payments are securely processed by our authorized third-party processors. They manage the transaction, billing, and all applicable global taxes.
• License Keys: Your ScribeMic AI license key is strictly for your personal or professional use. It may not be resold, shared, transferred, or distributed.

3. Updates and Support

Your one-time purchase includes exactly twelve (12) months of complimentary software compatibility updates and standard email support, beginning on the date of purchase.

• After 12 Months: You may continue to use the version of ScribeMic AI you purchased indefinitely, provided it remains compatible with your computer's operating system.
• Future Upgrades: We do not guarantee that older versions of our software will remain compatible with future major Windows operating system updates released after your 12-month period expires. To receive newer versions after your first year, you will need to purchase a new, updated license.

4. Refund Policy (All Sales Final)

Because ScribeMic AI is a digital software product distributed via a unique license key, all sales are final. Once a purchase is completed and a key has been issued, we do not offer refunds, returns, exchanges, or cancellations under any circumstances. We strongly encourage you to carefully review our system requirements and compatibility guidelines on our website prior to making a purchase.

5. Intellectual Property

All content on the scribemic.ai website—including text, graphics, logos, images, and software—is the property of Sydneil Technologies LLC or its content suppliers and is protected by international copyright and trademark laws. You may not reproduce, duplicate, copy, sell, or exploit any portion of our website or software without express written permission from us.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Sydneil Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the website or software; or (b) any unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability exceed the total amount you paid us for the software.

7. Disclaimer of Warranties

The website and software are provided on an "AS-IS" and "AS-AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the software will be completely error-free or that it will meet your specific, unique requirements outside of its core dictation functionality.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the federal or state courts located in Delaware.

9. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our website after those revisions become effective, you agree to be bound by the revised terms.
